Terms & Conditions

These Terms and Conditions (hereinafter referred to as the “Terms”) govern Your registration, participation and attendance in 2024 Hackathon hosted by Adtech Holding Ltd in Cyprus on November 23rd and 24th 2024 as described herein (hereinafter referred to as “Hackathon”).

These Terms are effective upon submitting Your online registration (hereinafter referred to as the “Effective Date”) and are concluded between: 

ADTECH HOLDING LTD, a company registered in accordance with the legislation of Cyprus under registration number HE 353566 and having its registered office at Zinonos Rossidi, 11, 3082, Limassol, Cyprus, (hereinafter referred to as the “Organizer”), and

You, an individual interested in and therefore registering for Your possible participation and attendance in Hackathon (hereinafter referred to as “You”/ “Your” / “Yours”), 

collectively referred to as the “Parties” and separately as the “Party”.

WHEREAS, the Organizer is hosting Hackathon in Cyprus which will take place on November 23rd and 24th 2024, at the Warehouse by ITQuarter, located at Sinergatismou 20-3010, 3010, Limassol, Cyprus (hereinafter referred to as the “Venue”); and

WHEREAS, You seek to register, participate and attend Hackathon;

NOW, in consideration of the mutual promises herein contained and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, You and the Organizer agree as follows:

BY CHECKING THE BOX AND ACCEPTING THESE TERMS ONLINE, AS APPLICABLE, AND/OR BY REGISTERING/PARTICIPATING/ATTENDING HACKATHON YOU (A) CONFIRM THAT YOU ARE AWARE AND THAT YOU COMPLY AT ALL TIMES WITH THE PRESENT TERMS AND AGREE/CONSENT TO BE BOUND BY THEM AS ALSO BY THE ORGANIZER’S PRIVACY POLICY AS PUBLISHED AT http://hackathon24.adtechholding.com/ (HEREINAFTER REFERRED TO AS THE “WEBSITE”, CONSENT FOR PROCESSING OF PERSONAL DATA, TEAM FORMATION ACKNOWLEDGMENTS, APPLICATIONS AND FORMS AND ANY AND ALL OTHER DOCUMENTATION YOU MAY BE REQUESTED TO AND/OR ACTUALLY SIGN/AGREE TO/ACCEPT FOR HACKATHON AND/OR YOUR THEREIN REGISTRATION, PARTICIPATION AND ACCEPTANCE (HEREINAFTER COLLECTIVELY REFERRED TO AS THE “SUPPLEMENTARY DOCUMENTS”; (B) ACKNOWLEDGE AND AGREE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF REGISTERING, PARTICIPATING AND ATTENDING HACKATHON AND YOU ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS; (C) HEREBY REPRESENT AND WARRANT THAT YOU ARE DULLY AUTHORIZED SIGNATORY AND HAVE FULL LEGAL CAPACITY AND AUTHORITY TO ENTER INTO THESE TERMS AND THAT YOU SATISFY ALL CONDITIONS CRITERIA AND REQUIREMENTS HEREIN STATED AT ALL TIMES; (D) AGREE TO RECEIVE DIRECTLY TO YOUR E-MAIL AND/OR PHONE NUMBER NEWSLETTERS, TRAFFIC MONETIZATION INSIGHTS, LATEST PROMOTIONS, CASE-STUDIES AND TUTORIALS FROM THE ORGANIZER AND/OR LICENSED PARTIES; (E) AGREE TO THE TRANSFER OF YOUR DATA TO ORGANIZER’S PARTNERS AND/OR LICENSED PARTIES TO CONTACT YOU FOR HR PURPOSES, THE PROMOTION AND MARKETING OF THEIR PRODUCTS AND SERVICES.

1. HACKATHON 

1.1. Hackathon is a competitive event organized and hosted by the Organizer in which individuals shall work in groups on software or hardware projects with the goal of creating a functioning product by the end of the event.  

1.2. Hackathon shall commence on November 23rd 2024 at 09:00 a.m. and finish on November 24th 2024 at 20:00 p.m.

1.3. Your registration, participation and attendance in Hackathon is free of charge.

1.4. In order to participate in and attend Hackathon You must first register online at http://hackathon24.adtechholding.com/ at any given time from August 1 2024 and until November 20th 2024.  

1.5. You may register in Hackathon as an Author or as a Participant.  Author is an individual who has an idea for the project to be developed in Hackathon, who might need participant(s) with who together will form a Team, the Author is the leader and representative of the Team (hereinafter referred to as the “Author(s)”).  Participant is an individual who does not have an idea for the project to be developed in Hackathon but has qualifications and a certain position that may be utilized for the development of an idea (hereinafter referred to as the “Participant(s)”).  

1.6. The idea of an Author as also the qualifications/position of a Participant must correspond to a specific challenge/theme/topic from a number of challenge/themes/topics offered/provided by the Organizer for Hackathon (hereinafter referred to as the “Topic(s)”).

1.7. Authors and Participants whose registration will be accepted by the Organizer must from November 20th 2024 and until November 22nd 2024 form groups/be part of a group composed by one up to five individuals as further described in these Terms (hereinafter referred to as “Team(s)”).  The words “You”/ “Your” / “Yours” under these Terms shall and must refer to and include Your Team when and as applicable at the sole discretion of the Organizer.

1.8. Authors and Participants being part of a Team which is accepted by the Organization to participate in and attend Hackathon must, within timeframes set by the Organizer, use their Topics, ideas and qualifications and work together to initiate, develop and finalize a product/project which must comply with the requirements set by Organizer as further described in these Terms (hereinafter referred to as the “Project(s)”).  

1.9. For the purposes of Hackathon, the Organizer shall appoint an evaluation committee comprised by individuals with academic and/or professional experience in regards to Hackathon (hereinafter referred to as the “Evaluation Committee”), who by the end of Hackathon shall evaluate the Projects and at its own discretion decide, declare, nominate and announce the best Projects on evaluation criteria further described in these Terms (hereinafter referred to as the “Winning Projects”). 

1.10. The Author and all Participants of the Team with a Winning Project will equally share amongst them the winning prize of ten thousand euros (€10,000) as further described in these Terms (hereinafter referred to as the “Prize”).  

1.11. The Organizer at its sole discretion defines and states the rules of Hackathon and of Your registration, participation and attendance therein.  You hereby agree that such rules shall be obligatory for You and Your Team, as well as any verbal and written statements and requirements of the Organizer.  You and Your Team must observe and comply with all written and verbal instructions of the Organizer in relation to Hackathon, including without limitation, instructions regarding access to and secure use of any related facilities, hardware, software and equipment.  

1.12. You hereby acknowledge and accept that in order for the Organizer to maintain the integrity of Hackathon and to ensure Your compliance with its safety rules, the Organizer may at any time and at its own discretion claim for compensation of the damages in addition to any rights vested in it to refuse and/or exclude and/or forbid and/or stop and/or cancel Your and/or Your Team’s use of the Website and/or content and/or registration, participation and attendance in Hackathon and/or deprive and/or remove from You and/or Your Team any and all rights may have in Hackathon, a Project, a Prize and/or request to refund and/or return back the Prize and/or gift and/or terminate these Terms and/or claim damages, at any time without any explanation, prior warning or notification.

1.13. Your registration, participation and attendance at Hackathon are subject to constant approval and acceptance by the Organizer. The Organizer may at its sole discretion accept or reject Your registration, participation and attendance in Hackathon for any reason and at any time before and/or during Hackathon, regardless Your acceptance of registration, participation and attendance at any other time.  

1.14. You hereby understand and agree that the rejection of Your registration, participation and attendance in Hackathon means and/or automatically gives all rights to the Organizer to immediately exclude You and/or forbid and/or stop and/or cancel Your registration, participation and attendance in Hackathon and deprive and remove from You any and all rights You may have in Hackathon, a Project, a Prize.

1.15. Rejection reasons may include amongst others: (a) the refusal to accept and abide by the present Terms as amended/updated from time to time and/or their non fulfilment in their totality (all of them are considered vital); (b) the breach of any of these Terms at any time, (c) the subsequent inability to comply with these Terms; (d) the violation of current legislation and fair practices; (e) the inability to meet any conditions, criteria, requirements as per these Terms; (f) the breach of representations and warranties under these Terms. 

1.16. Some reasons of rejection might at the sole discretion of the Organizer allow You to re-register in Hackathon for one or multiple times, usually such reasons involving issues which You may improve in another registration.  Such examples of rejection may be the rejection of an Author’s registration as the idea does not seem to correspond/be within the scope of the Organizer’s Topics (the idea may be amended in another registration) or the rejection of a Participant’s registration as the qualifications demonstrated are considered by the Organizer inadequate for a certain role/position (the position may change in another registration).  In any case, if Your registration is rejected for a certain reason which enables Your re-registration in Hackathon, the Organizer will inform You of such possibility accordingly.  The choice of re-registering under this clause is only available to You upon Your rejection, otherwise multiple registrations are not allowed for Hackathon and under these Terms.

1.17. Without prejudice to clauses 1.13 to 1.16 above, the Organizer has no responsibility whatsoever to give You a reason of Your rejection, even if it may do so at any time at its own discretion.

1.18. In order for Your registration, participation and attendance in Hackathon to be accepted by the Organizer You must fill in and submit all required data, links, information and documentation as and when requested by the Organizer.  

1.19. All data, links, information and documentation You provide at any time under these Terms and for your registration, participation and attendance at Hackathon, must be true, valid, represent You as an existing individual and must not be in any way fake, imaginary, fictitious, created, stolen, non-existed.  All data, links, information and documentation You provide at any time under these Terms and for your registration, participation and attendance at Hackathon may be investigated, cross examined, confirmed and evaluated by the Organizer by any means and at any extend as necessary according to the Organizer alone.  

1.20. In the event that You provide data, links, information and documentation which is false and/or inaccurate and/or incomplete the Organizer has the right to exclude You and/or forbid and/or stop and/or cancel Your registration, participation and attendance at any stage of Hackathon, even after a Prize has been awarded.

1.21. The Organizer may at any time and through any communication means and channels request You to provide further, additional, substantial, supportive or other data, links, information and documentation.  Your delay and/or denial and/or refusal and/or not provision of such data, links, information and documentation within any timeframes set by the Organizer may automatically, immediately and without any notice or explanation exclude You and/or forbid and/or stop and/or cancel Your registration, participation and attendance from Hackathon.

1.22. You explicitly hereby accept that the Organizer may keep and will not return at its own discretion any and all data, links, information and documentation or other material that will be submitted/provided for the purpose of Your registration, participation and attendance in the Hackathon.

1.23. Upon Your successful registration and acceptance notification of your registration, You automatically give the Organizer the right to use Your email and any other necessary information and personal identifiable data of Yours as it considers fit and include/add You in groups or other type of chats through any communications channels of its choice, Slack included, for the purposes of Hackathon.  You hereby understand and agree that You might be requested by the Organizer to participate in chatting, video calls and also provide through such communication channels data, links, information and documentation, and that Your denial and/or refusal and/or delay in responding to the therein requests of the Organizer may automatically and without any notice nor explanation exclude You and/or forbid and/or stop and/or cancel Your registration, participation and attendance from Hackathon. You hereby grant Your explicit consent to the Organizer to create, receive and store recordings for any and all voice and video calls, chats, recordings that you join.  You hereby grant the Organizer with such and all related rights for as long as it is considered necessary by the Organizer at its own discretion and You release the Organizer from any liability whatsoever in regards to any and all damage You may suffer as a result of Your inclusion in such chats, video calls and communication channels in general.

1.24. In order to participate in and attend Hackathon You must physically attend Hackathon and present Yourself at the Venue at any time specified/indicated and/or otherwise communicated to You by the Organizer, prove Your identity by showing a valid identification document (valid ID, Passport, Driver’s License) and sign any and all Supplementary Documents and/or any other documentation deemed necessary according to the Organizer.  

1.25. You must at all times be physically present at timeframes and Venue locations set/specified by the Organizer at its own discretion. 

1.26. The Organizer may specify and You must follow guidelines on forbidding the display of trademarks and logos, clothing and gear (e.g., to help ensure a first-class production and optimal viewing experience), etc.  You acknowledge that Hackathon will have sponsors with sponsorship benefits relating to all of its aspects, including branding on the competition set, equipment, etc., and that such sponsors may compete with any sponsors You may have.  All sponsored product, logos, etc. You may wish to use for/during Hackathon may be inspected and/or approved and/or rejected by the Organizer at any time at its sole discretion.

1.27. The Organizer reserves at all times the right not to allow the posting and/or withdraw from its Website and/or Hackathon, content as well as any other element, material, if under its sole discretion and judgment contradict the present Terms.

1.28. The Organizer reserves the right at its own discretion to modify and/or cancel Hackathon and/or any details in relation to any and all details of Hackathon herein addressed, including without limitation, its host, rules, Venue, time, Prizes, gifts, etc., without any limitation whatsoever, at any time and for any reason, with or without notice to You and with or without changing the present Terms.

1.29. Your registration, participation and attendance in Hackathon shall be non-exclusive, and You shall be freely able to participate in other competitions, except if otherwise indicated by the Organizer and provided that You shall be made available for Hackathon and shall participate and attend and fulfill all your responsibilities, representations and warranties under these Terms.

1.30. The Organizer may at its own discretion meet with You and/or otherwise seek suggestions and feedback regarding Hackathon and potential improvements to it.    

1.31. At the Organizer’s reasonable request You must participate in Hackathon’s sponsored marketing, advertising, meet-and-greet sessions, promotional activities and ancillary programming (e.g., programming outside of live game play such as interviews, studio shows, shoulder programs, etc.).

2. ELIGIBILITY CRITERIA OF A PARTICIPANT AND AUTHOR

2.1. Hackathon aims to attract highly skilled computer programmers, analysts, designers, communication and marketing experts, students, as well as any other individual who is passionate about programming and is interested in developing a Project and/or winning a Prize.

2.2. In order for your registration, participation and attendance in Hackathon to be accepted by the Organizer, You must, at the Organizer’s opinion and sole discretion, meet at all times the criteria of a Participant or an Author as indicated below:

2.2.A Participant.
As a Participant You must at all times meet at a minimum the below criteria:

  1. Possess an IT knowledge, background, skills, expertise, experience, passion corresponding to a Topic;
  2. Wish to and use Your IT knowledge, background, skills, expertise, experience, passion to create, develop a new Project for Hackathon;
  3. Fully and truly complete and submit the relevant online registration form; 
  4. Provide all required data, links, information and documentation as and when requested by the Organizer;
  5. Join an existing Team or create a new Team;
  6. Cooperate with one or more Participant(s) and/or Author for a Project;
  7. Comply with all requirements of a Topic and Project;
  8. Not be rejected by the Organizer at any time and for any reason;
  9. Comply with the representations and warranties of clause 9 under these Terms;
  10. Not breach any of these Terms;

2.2.B Author.
As an Author You must at all times meet at a minimum the below criteria:

  1. Possess passion and an idea corresponding to a Topic which may result to the development of a Project through IT knowledge, background, skills, expertise, experience, passion;
  2. Wish and use Your idea for the purposes of creating, developing a new Project for Hackathon;
  3. Fully and truly complete and submit the relevant online registration form;
  4. Provide all required data, links, information and documentation as and when requested by the Organizer;
  5. Join an existing Team or create a new Team;
  6. Gather, lead, represent the Team as instructed by the Organizer;
  7. Comply with all requirements of a Topic and Project;
  8. Not be rejected by the Organizer at any time and for any reason;
  9. Comply with the representations and warranties of clause 9 under these Terms;
  10. Not breach any of these Terms;

2.3. Your hereby understand and accept that all the above criteria are listed herein to familiarize Yourself with Your duties and responsibilities under these Terms, are not in any way limited or exhaustive and they may be supplemented, amended, changed, altered, nullified, interpreted, etc., by the Organizer at its own discretion, at any time, with or without any notice to You.

2.4. You hereby release the Organizer from any liability whatsoever emanating from its discretion to supplement, amend, change, alter, nullify, interpret the above criteria, as also to exclude and/or forbid and/or stop and/or cancel Your and/or Your Team’s registration, participation and attendance and/or deprive and remove any and all rights You may have in Hackathon, a Project or a Prize based on them.

3. TEAMS

3.1. In order for Your registration, participation and attendance in Hackathon to be accepted by the Organizer You must be part of a Team.  

3.2. A Team must be composed from 1 up to 5 individuals.  Each group must be gathered, led, and represented by one Author.  In Teams of one individual then the said individual will be the Author.

3.3. Teams are not allowed under these Terms to be branded and/or commercial and/or represent any business or company and must not carry any logo and/or trademark and/or brand name.

3.4. Teams may be created and structured by the Authors and/or Participants themselves and/or by the Organizer itself in cases where individuals wish to be part of a Team but do not manage to form or be part of a Team by themselves.  Individuals who are not part of a Team may be matched with other Teams/placed in an existing team. 

3.5. Authors and Participants shall form Teams taking into consideration/matching the ideas of Authors and the qualifications of Participants.  Participants and Authors of Teams accepted by the Organizer to participate in and attend Hackathon must work together on a Topic and create a Project.

3.6. All members of a Team, meaning the Author and all Participants, must present themselves at the Venue and confirm being part of a certain Team in writing by signature during Hackathon, as and when indicated by the Organizer.  You hereby release the Organizer from all liability whatsoever in regards to You being part of any Team.

3.7. As an individual, Author or Participant, part of a Team under these Terms, You hereby represent and warrant to communicate and act in accordance with the following at all times and throughout Your overall registration, presence and attendance in Hackathon:

  1. Behave in an ethical manner;
  2. Respect all other individuals;
  3. Treat others with dignity;
  4. Speak and behave courteously;
  5. Cooperate with others;
  6. Develop positive and respectful relationships and think about the effect on relationships before acting;
  7. Value the interests, ability and culture of others;
  8. Negotiate and resolve conflict with empathy;
  9. Care for self and others;
  10. Avoid and prevent if possible dangerous behavior and encourage others to avoid and prevent dangerous behavior;
  11. Not bully, harass, intimidate or discriminate against anyone;
  12. Follow fair competition rules and practices;
  13. Resolve conflict respectfully, calmly and fairly;
  14. Take personal responsibility for behavior and actions;
  15. Respect all property and premises
  16. Comply with these Terms and follow the requirements and directions of the Organizer.

3.8. You hereby agree and grant the Organizer the right, at any time and at its absolute discretion, to exclude and/or forbid and/or stop and/or cancel Your and/or Your entire Team’s registration, participation and attendance and deprive and remove from You and/or Your entire Team any and all rights that may have in Hackathon, a Project or a Prize.  The Organizer may also do so in any case You do not agree/accept and/or reject and/or deny and/or delay and/or refuse for any reason whatsoever to be part of a certain/specific/indicated Team against the instructions/requests of the Organizer.

3.9. As part of a Team, You hereby understand and agree that You are fully and/or equally with any other Author and/or Participant responsible and accountable for and in relation to Your Project and Team and for any and all liability which may occur from and/or from the use and/or from the development of Your Project and formation and operation of Your Team, as indicated/decided at the sole discretion of the Evaluation Committee and/or the Organizer.  

3.10. In case of Your exclusion and/or forbiddance and/or stop and/or cancellation of registration, participation and attendance at any stage of Hackathon, even after a Prize has been awarded, You will be the only responsible person for such a decision taken by the Evaluation Committed and/or the Organizer and for any other decision of the Organizer which may affect the rest of Your Team and/or other Teams and/or Your Project and/or other Projects and/or the award of a Prize and You hereby release the Organizer from any liability and from any third party claim whatsoever regarding this issue.

4. TOPICS AND PROJECTS 

4.1. In order for Your registration, participation and attendance in Hackathon to be accepted by the Organizer Your idea and/or qualifications must correspond to a Topic.  The Organizer will at its own discretion decide whether Your idea and/or qualifications correspond to the Topic of Your choice, and you hereby release the Organizer from all liability in this regard.

4.2. You must participate and attend Hackathon with one Topic only and You have no right to change the said Topic during Your participation and attendance in Hackathon.

4.3. The Topics provided by the Organizer are as follows:

  • IT Solutions to improve life in Cyprus
  • Self-Improvement: Health, Education, Sports

The Topics may be changed, updated, adapted in any way and at any time at the sole discretion of the Organizer.

4.4. Based on approved/accepted idea and qualifications You as part of a Team shall develop a Project during Hackathon.  In order for a Project to be accepted for evaluation and/or to be a Winning Project and/or the Public’s Winning Project must at all times meet all the below requirements:

  1. The implementation of the idea and the Project itself must only be designed, created, developed, finalized and submitted to the Evaluation Committee and/or Organizer during Hackathon within specific timeframes set by the Organizer and must be a prototype and constitute an original work;
  2. In case of IP rights of third persons on the Project, You must have obtained all necessary licenses and authorizations and ensure that the licenses and authorizations can be assigned to third parties and/or the Organizer and/or Licensed Parties and/or authorized third parties;
  3. The Project has not been the object of a previous competition and/or contract with a third party;
  4. The Project must not be intended to and/or actually contradict, encourage, contain, refer to, display, include, allow access to, violate:
    • any trademark, logo or other signs protected by copyright or industrial property rights;
    • the rights of a third person, including patents, trade secrets, rights assigned from licenses and contracts, the right to advertisement and the right to privacy, human rights, moral rights and any other rights that shall be protected according to the law;
    • content that is illegal or contradicts does not create or reinforce racial discrimination or nationalism or feelings of rivalry or hostility among population groups;
    • any pornographic, sexual explicit and discriminatory content (especially discrimination based on race, gender, sexual orientation, religion, political orientation of individual/ groups); 
    • violence as idealized or insignificant state or incite violence toward a living creature, or might be defined as offensive, obscene and inappropriate;
    • criminal acts or any threatening or other intimidating, harassing and abusive content;
    • any applicable law or encourage unlawful behaviors;
  5. The Project must not compromise the moral education of children and youth, not create moral standards harmful to social welfare;
  6. The Project must not contradict the values of and not affect in any way the image, brand reputation and credibility of the Organizer and/or Licensed Parties and/or authorized third parties.

4.5. A Project that does not meet at a minimum all the above requirements at all times, at the Organizer’s sole discretion, will not be subject to evaluation and will not have the chance to be declared as a Winning Project and/or the Public’s Winning Project.  You hereby acknowledge and agree that in any case Your Project is a Winning Project and/or Public’s Winning Project and You are awarded with a Prize and/or gift but it is later proved and/or indicated and/or declared by the Organization at its own discretion, with or without any proof demonstrated, that the Project concerned did not meet and/or stopped meeting any of the above requirements at any time, the Organizer has and retains all rights possible to deprive and/or request a refund of the Prize and/or gift from You and/or Your Team and You and/or Your Team must return back to the Organizer all monetary amounts and/or gift You and/or Your Team have received from Hackathon and/or the Organizer and/or the Evaluation Committee and/or the sponsors.

5. WINNING PROJECTS AND PRIZE

5.1. The Evaluation Committee shall at its own discretion evaluate all Projects that meet the requirements of clause 4 of these Terms and decide, declare, nominate and announce two Winning Projects of Hackathon, one Winning Project for each Topic, based on its sole judgment, criteria, methods, and means.  

5.2. The Evaluation Committee’s evaluation of the Projects will be based on criteria such as: 

  1. The originality, prototype and innovation of the idea, work, product and of the overall Project;
  2. How complete the Project is, its maturity level and degree of implementation; 
  3. The business potential of the Project;
  4. The Project’s prospects for development and sustainability;
  5. The respond of the Project to specific challenges and needs;
  6. The technology and solutions of the Project;
  7. The financial effect of the Project;
  8. The clarity, conceptual background and the overall presentation of the Project;
  9. The organization and work of the Team.

5.3. The Prize, meaning the monetary amount of ten thousand euros (€10,000) will be awarded to the Winning Project of each Topic and equally and proportionally shared amongst all participants of each winning Team.  Each and all individuals who will receive a monetary amount as a prize under these Terms and Hackathon must and are the sole responsible persons to pay any and all taxes, expenses, fees, charges required for receiving such monetary amount.  You hereby explicitly release the Organizer from any and all liability in relation to taxes, expenses, fees, charges in relation to the Prize/a Prize You may receive.

5.4. You hereby acknowledge and accept that You have no opinion, judgment or right whatsoever to argue and/or question the decision of the Evaluation Committee nor claim to the Evaluation Committee and/or the Organizer for any damage you may suffer, prize, reward whatsoever as a result of such decision.  

5.5. You hereby understand and accept that You may only receive a prize if (a) You are a Participant or Author of a winning Team with a Winning Project and (b) if You have not breached/were/are not in breach of any of these Terms at any time, at the sole discretion of the Organizer.  

5.6. The Evaluation Committee may, at its own discretion, decide, declare, nominate and announce additional winning Projects and/or give to additional winning Project/Team/Teams’ members any non-monetary gift of its choice.

5.7. The Organizer may at its own discretion decide to make a gallop and/or invite You and/or any other individual who participated in and/or attended Hackathon, to vote and/or choose their favorite Project through any means and in any way as indicate by the Organizer and/or the Evaluation Committee (hereinafter referred to as the “Public’s Winning Project”).  The Organizer may at its own discretion decide to award the Team (meaning the Team as a whole or each individual part of the Team) of such Public’s Winning Project with a non-monetary gift of its choice.

5.8. You hereby understand and agree that any such voluntary vote, choice You may be given and/or You may take will be treated and used by the Organizer in any way at its sole discretion and that will not in any way count for and/or affect the judgment/decision of the Evaluation Committee nor define the Winning Project, winning Team, Prize.   

5.9. You hereby acknowledge and accept that You have no opinion, judgement or right whatsoever to argue and/or question any possible gallop and/or public’s opinion/vote/choice and/or Public’s Winning Project nor to claim to the Evaluation Committee and/or the Organizer for any damage you may suffer, prize, reward whatsoever as a result.  

5.10. Any sponsor may, at its own discretion and at any time, decide to give non-monetary, promotional and/or any other type of gift(s) to any and/or all participants of Hackathon.  All terms concerning gifts under these Terms shall apply to any gifts provided by each and every sponsor.  You hereby release the Organizer from all types of liabilities which may arise from and/or in relation to such gifts.

5.11. You hereby understand and accept that You may only receive a gift by the Organizer if (a) You are a Participant or Author of the Team with the Public’s Winning Project and (b) if You have not breached/were/are not in breach of any of these Terms at any time, at the sole discretion of the Organizer.  

5.12. Any Prize and/or gift for Hackathon will be given to the individuals of the winning Team(s) upon a relevant, appropriate announcement and/or notification on the detailed procedure of the awarding.  More information will be made available on Hackathon webpage in frequent intervals.  

5.13. The individuals of a winning Team do not have the right to request financial or other exchange instead of the specific prize/gift they will be awarded/receive.

5.14. You hereby grant and accept that the Organizer has and retains, at all times, all rights possible to deprive and/or not provide and/or request a refund of any Prize and/or gift from You and/or a winning Team and/or a Participant/an Author of a winning Team, in any case You and/or a winning Team and/or a Participant/an Author of a winning Team are/is /found to be/has been in breach of these Terms at any time.  In such a case, You hereby agree to return the Prize/all monetary amount and/or gift You have received from the Organizer.

5.15. You hereby disclaim and renounce any and all rights You may have and release the Organizer and/or the Evaluation Committee from any liability whatsoever in regards to the winning Teams, winning Projects and Prizes and gift.

5.16. In case You are part of a Team with a Winning Project and/or Public’s Winning Project, the Organizer reserves the right to publicly announce/publish any information about You, including Your name, email, etc. on the Organizer’s Website and social media channels including but not limited to Telegram, Instagram, YouTube, Twitter, etc.  

5.17. In any case You are personally contacted by the Organization in relation to a Winning Project and Prize and/or Public’s Winning Project and gift but You fail to and/or do not reply and/or do not contact back the Organization for any reason within thirty (30) calendar days since the first communication sent to You, You understand and accept that at the sole discretion of the Organizer You may not receive a Prize and/or gift without the Organizer having any further responsibility and/or liability towards You.

5.18. In the case that You do not receive any Prize and/or gift under Hackathon and/or these Terms, You hereby agree and confirm that the possibility given to You by the Organizer through Your registration, participation and attendance in Hackathon to demonstrate and/or promote Your ideas and/or qualifications and/or skills in public and/or receive any type of offers as a result constitutes valid and adequate consideration under these Terms.

6. EQUIPMENT, SERVICES AND EXPENSES

6.1. During Hackathon, the Organizer shall offer to You, part of the Venue as shared work space, work desk and access to the Internet, at specified times as set by the Organizer.

6.2. The Organizer will not provide and You must have/bring Your own equipment such as a laptops, computer screens, keyboards and any other equipment necessary in order to prepare and be able to participate and attend Hackathon.  The Organizer will not provide any inventory for Hackathon.

6.3. Any and all expenses You may have had/realized for/because/due to Your registration, participation and attendance in Hackathon and the development of a Project, which may include the preparation costs (mock-up costs, pilot apps etc.), transport costs, accommodation costs and other costs, realized by You, will be undertaken solely by You.  The Organizer has no responsibility whatsoever to cover any such expenses.  

6.4. Hospitality, food and beverages and provision of any type of supporting services, if any, are offered on the condition that You, under and during Your registration, participation and attendance in Hackathon, comply at all times with all Terms and any and all obligations arising from the security policies of the Organizer, Venue and Venue’s owners and agree to undertake full responsibility for any possible damage, accident or harm caused to You and/or Your equipment and/or any other person and/or the property and infrastructures because of You and/or Your equipment.

6.5. You hereby release the Organizer from all liability whatsoever in regards to all equipment, services and their use, if and as provided and used under these Terms.

7. ADVERTISING, PUBLICITY AND RECORDINGS

7.1. You hereby grant to the Organizer and its connected companies, sponsors, strategic partners, affiliates, agents, licensors, licensees, successors and assigns, (collectively hereinafter referred to as the “Licensed Parties”) the unlimited right and permission to search, find, collect, receive, record, hold, maintain, use, copy, reproduce, edit, modify, disseminate, destroy and/or to authorize third parties to do the same, at their own discretion, in relation to Your and/or Your Teams’ s and/or Your Project’s idea, data, information, documentation, material, works, practices, technology, etc., including but not limited to Your and/or Your Teams’ s and/or Your Project’s full name, initials, nicknames, pictures, images, likeness, photographs, silhouette or form, animation, persona, autograph/signature, biographical information, backstory, voice, chats performance, recordings, tags, interviews, feedbacks, catchphrases, footage, tradenames, slogans, catchphrases, logos and trademarks, statistics, software, sources, etc., (collectively hereinafter referred to as “Your Data”), which was/is based and/or derived from any communication channels and/or Your registration, participation and attendance in Hackathon and/or via any other way under/from Hackathon.  The Organizer and/or Licensed Parties and/or authorized third parties may do any and all herein described actions in relation to Your Data in any way and for whatever purposes of its sole discretion, including but not limited, for Hackathon, the event and competition itself, promotional and marketing purposes, business operations, HR purposes, in venues, production and/or media whatsoever, advertisements, merchandise, marketing purposes, publicity materials, on websites and in social media postings (e.g., Facebook, YouTube, etc.), in editorial content, and/or any projects, programs, etc., whether now known or hereafter devised, anywhere in the world, in perpetuity, royalty-free, for any lawful purpose.

7.2. You hereby agree and provide the Organizer the non-exclusive, without exchange, irrevocable, worldwide, transferable license for use of what is posted on Hackathon Website throughout and/or after the duration of Hackathon, by the Organizer and/or Licensed Parties and/or authorized parties, complete and/or in segments, integrated in another composition of audiovisual material, for a duration of two years since the end of the Term, in any manner and for as many times as the Organizers deem necessary for the purposes of promotion, communication, projection and publicity of Hackathon.  You hereby agree and grant the Organizer and/or Licensed Parties and/or authorized parties the exclusive right to photograph, voice and video record, publish, broadcast, show or perform, publicly show or perform, display, stream, disseminate, telecast, transmit, air, distribute, or otherwise exhibit or reproduce in any way and manner whatsoever (including via the internet, audiovisual services via use of mobile telephony networks, broadcasting, reproduction of printed material, posting on the websites of the Organizers and on the websites of their connected Companies or of other Content providers, posting on social networks and platforms etc.), any and all part of Hackathon and/or Your and/or Your Team and/or Your Data and/or Your Project, at any time at their own discretion (collectively hereinafter referred to as “Hackathon Content”). 

7.3. You hereby understand and accept that the Organizer and/or Licensed Parties and/or authorized parties have the unrestricted right to record, hold, maintain, copy, reproduce, edit, modify, disseminate, destroy, publish, and/or otherwise use (including anonymously) and/or to authorize third parties to do the same in relation to Your Data and Hackathon Content, which shall be fully owned by the Organizer as set forth below.  You explicitly accept that the Organizer and/or Licensed Parties and/or authorized parties shall not and will not be obliged to effect any extra payments and/or actions in order to smoothly utilize Your Data and Hackathon Content.  

7.4. Should the Organizer and/or Licensed Parties and/or authorized third parties receive any demands/lawsuits/claims from any third parties in connection with their utilization of Your Data and/or Hackathon Content, You and/or Your Team shall on Your own and for Your own account settle all such demands/lawsuits/claims in full, and compensate the Organizer and/or its Licensed Parties and/or authorized third parties in full for any damages they sustained in this connection.  You hereby entitle the Organizer to demand in full the compensation for any Licensed Parties’ and/or authorized third parties’ damages from You on their behalf. 

7.5. You hereby acknowledge and accept that You and/or Your Team are not entitled and shall not, in any way directly or indirectly, on Your own or through any other third parties, photograph, record, publish, broadcast (including via the internet), show or perform, stream, disseminate, telecast, transmit, air, distribute, or otherwise exhibit or reproduce or do any other act for which the Organizer and/or Licensed Parties and/or authorized third parties holds the rights, in any manner whatsoever, all or any part of Hackathon, related IPs and Hackathon Content.

7.6. In any case You receive and/or hold, through any way possible including via the Organizer itself, any Data/IP which is not Yours but of another individual, speaker, attendee, participant, visitor, sponsor, cooperation partner, affiliate, third party service provider including the Evaluation Committee, Organizer’s personnel, authorized third parties and Licensed Parties, You hereby agree to return and/or submit all such Data/IP to the Organizer and/or delete any copy you may have kept at the request of the Organizer, immediately as soon as You have received it.  You hereby agree to respect and treat the Data/IP of any such and all persons in a legal and confidential manner as if it is Yours.  You hereby accept and take all responsibility whatsoever for any and all claims and damages occurred from Your failure to comply with Your responsibilities under this clause.

8. OWNERSHIP

8.1. You shall hold all ownership rights in Your Team’s Project and the Organizer shall  hold and maintain the unlimited right and without any permission whatsoever to search, find, collect, receive, record, hold, maintain, use, copy, reproduce, edit, modify, disseminate, destroy, with or without indicating Your and/or Your Team’s denominations, names or pseudonyms and/or to authorize third parties to do the same, at their own discretion, in any way and for whatever purposes of its sole discretion, including but not limited, for Hackathon, the event and competition itself, promotional and marketing purposes, business operations, HR purposes, in venues, production and/or media whatsoever, advertisements, merchandise, marketing purposes, publicity materials, on websites and in social media postings (e.g., Facebook, YouTube, etc.), in editorial content, and/or any projects, programs, etc., whether now known or hereafter devised, anywhere in the world, in perpetuity, royalty-free, for any lawful purpose any works, activities, inventions, trademarks, software, technology, including, without limitation, all registered and unregistered trade names, service marks, trade dress, logos, and other identifying symbols, trade secrets and other assets and materials existing or to be created, used, developed, organized, proposed, related to Hackathon and/or the Projects (including Your and/or Your Team’s Project and the Winning Projects) and/or these Terms, including, without limitation, Your Data (where applicable and to the maximum possible extend possible and/or permitted by the laws governing these Terms), Hackathon Content, all the Projects (including Your and/or Your Team’s Project and the Winning Projects), any and all of Your and/or Your Teams’ contributions to Hackathon and Projects (collectively hereinafter referred to as the “Organizer’s Rights”).

8.2. You hereby acknowledge and accept that You and/or Your Team are not entitled and shall not without the Organizer’s permission, in any way directly or indirectly, on Your own or through any other third parties, photograph, record, publish, broadcast (including via the internet), show or perform, stream, disseminate, telecast, transmit, air, distribute, or otherwise exhibit or reproduce or do any other act for which the Organizer holds the rights, in any manner whatsoever, all or any part of the Organizer’s intellectual property and Hackathon’s Content disseminating under these Terms and/or from the execution of the Organizer’s Rights and/or Your Data.

8.3. You hereby agree that the Organizer is not and shall not be obliged in any way to provide any reports to You and/or Your Team for the Organizer’s Rights and Your Data’s utilization, as well as the Organizer is entitled at its sole discretion and without any prior approval to transfer, license or assign any intellectual property rights, title or interest in any and all Organizer’s Rights and/or Your Data to any third parties.  

8.4. You and/or Your Team have no right whatsoever to stop, prevent, deprive, eliminate, terminate, rescind the granting of any rights/rights of the Organizer and/or to enjoin, restrain, seek to enjoin, restrain Hackathon and/or the production, utilization of the Organizer’s Rights and Your Data which are herein granted and described under this clause 8. 

8.5. Any expenses, costs, charges You may have suffered for the creation, development of the Organizer’s Rights and/or Your Data shall not forbid and/or limit the Organizer’s rights under this clause 8 and You hereby release the Organizer from any claims and refunds in relation to such expenses.

9. REPRESENTATIONS AND WARRANTIES 

9.1. You hereby represent and warrant that:

  1. You have all rights, power, authority and capacity to enter into and abide by these Terms and any and all Supplementary Documents you may sign and/or otherwise agree to/accept and to create binding contractual obligations for the purposes of Hackathon and/or for Your therein registration, participation and attendance;
  2. You are not a minor; 
  3. You and Your Team share the same responsibilities under these Terms and when a party of Your Team, Participant or Author, does not comply with the obligations under these Terms, You may and shall, at the sole discretion of the Organizer, be wholly and/or partially and/or equally and/or proportionately and/or otherwise liable and suffer consequences;
  4. All statements, data, links, information, documentation, material that You make, provide, submit at any time under these Terms and for your registration, participation and attendance at Hackathon, must be true, valid, represent You as an existing individual and must not be in any way fake, imaginary, fictitious, created, stolen, non-existed no violate or infringe upon any third party rights;
  5. You give the Organizer an irrevocable non-exclusive right to collect, store and use at its own discretion Your personal information, data, documentation, etc. provided by You under these Terms and Hackathon, including for Your use of the Website and/or content and/or registration, participation and attendance in Hackathon and/or for the announcing/publication of such data, information in case You are part of a winning Team/Winning Project/Public’s Winning Project;
  6. You give the Organizer an irrevocable non-exclusive right to transfer to its connected/related companies, partners and third party service providers, sponsors Your personal information data, documentation, etc. provided by You under these Terms and Hackathon for the purposes of executing these Terms and/or for contacting You for newsletters, traffic monetization insights, promotions, case studies, tutorials and promotion and marketing of their products and services;
  7. You give and/or transfer to the Organizer all rights in relation to Your Data and information as per clauses 1, 7 and 8 under these Terms;
  8. You will promptly respond to all communications and in no event later than within 12 hours since communicated by the Organizer, whether in text, email, phone or via any other means in which You were contacted and/or as otherwise accepted by the Organizer;
  9. You will immediately and/or as soon as possible notify us of any changes to Your contact details or of any other information, data, documentation, etc. submitted by You for Hackathon;
  10. You will forfeit any right You may have to a Prize and/or gift if You cannot be reached at the contact details You have provided and/or if You do not contact back the Organizer within thirty (30) calendar days since the first communication sent to You;
  11. You and Your Team will only provide Project, software, development, technology, products, solutions, ideas, works, data, information, materials that is owned or controlled 100% by You and Your Team and which is either original or in the public domain, including, without limitation, copyright, trademark, service mark or other intellectual property; 
  12. You and Your Team will create, develop, provide, submit Project that meets at all times all the requirements of clause 4 of these Terms;
  13. You and Your Team own and/or otherwise have and retain all rights, permits, power, authority, and capacity to provide and  grant any and all rights and Project, software, development, technology, products, solutions, ideas, works, data, information, materials and in the volume granted by You and/or Your Team under these Terms; 
  14. Your and/or Your Team’s exercise of any rights under these Terms will not violate, infringe or conflict with any rights of the Organizer and/or Licensed Parties and/or authorized parties and/or any third party, and there are no threatened or actual claims, liens, charges, restrictions, judgments, encumbrances on or related to any of such rights granted or any of the results and proceeds of the Project that will interfere with or limit the rights of the Organizer and/or Licensed Parties and/or authorized parties under these Terms;
  15. You will not remove any copyright, trademark or other proprietary rights notices contained in or on the Hackathon and/or the Organizer’s and/or Licensed Parties’ material, content, websites, etc.;
  16. You will not engage in any activity that violates or breaches the Organizer’s and/or Licensed Parties’ and/or any third party’s legal rights;
  17. You and Your Team will comply, in all respects, with all laws applicable regarding and/or arising out of Your obligations under these Terms and Hackathon, including but not limited to federal, state and local laws, rules and regulations; 
  18. You were and are not involved in any illegal activities and/or in any advertising or marketing practices that are deceptive, misleading or fraudulent;
  19. You will act in a legal, ethical manner and maintain the highest degree of professionalism and standards of integrity, honesty and responsibility in your dealings with the Organization, Licensed Parties and their authorized third parties, employees and representatives, Teams, other participants, visitors, attendees, Venue and Venue’s owners and personnel, overall premises and equipment and Hackathon in general;
  20. You will not act in an unlawful, harmful, threatening, defamatory, offensive, harassing manner or in other similar way that may disrepute and/or harm the name, goodwill and reputation of the Organizer and/or its services and/or Website and/or content and/or any of its appointed personnel, connected/related companies, partners and third party service providers, sponsors and/or Hackathon;
  21. You will comply at all times with Your representation and warranties of clause 3 of these Terms;
  22. You will not act in an unlawful, harmful, threatening, defamatory, offensive, harassing, neglectful or intentional manner or in any other way that may or actually cause death or any type of physical, mental, psychological harm, injury to any person regardless the severity; 
  23. You will comply with all security and safety rules as indicated by the Organizer and/or Licensed Parties and their authorized third parties, employees and representatives, and/or Venue and Venue’s owners and personnel;
  24. You will comply with any and all Covid-19,  health and safety and/or other requirements, instructions imposed and/or indicated by any governmental body/authority and/or the Organizer and/or Licensed Parties and their authorized third parties, employees and representatives, and/or Venue and Venue’s owners and personnel;
  25. You will not override any security feature of the Website or jeopardise the security of Your or anyone else’s registration, participation and attendance (such as allowing someone else to register/participate/attend as Yourself);
  26. You will not interfere with and/or manipulate the process of Hackathon in any way, especially technical processes, or attempt to do so and/or try in any other way to influence and/or affect the Evaluation Committee, Winning Projects, Public’s Winning Project;
  27. You will not engage in any action liable to impair in any way the smooth operation of Hackathon, the internet, the registration, participation and attendance of other individuals and/or to overload the Organizer’s systems;
  28. You and Your Team will not upload or transmit through Hackathon any computer viruses, macro viruses, Trojan horses, worms or anything other harmful activity;
  29. You and Your Team will not use manual or automated software, devices or other means or processes to access, scrape or crawl the Website, internet or any content or information contained in other Teams’/participant’s software and will not engage in ‘framing’, ‘mirroring’, or otherwise simulate their appearance or function;
  30. You will not modify, create derivative works or copy or store any significant portion of the Organizer’s Website and/or Hackathon and/or any related technology (unless allowed by law or expressly authorized by the Organizer);
  31. You will not use filming equipment, screen capture or recording software, or any other devices to record Hackathon and/or any aspect, procedure, information therein;
  32. You will not attempt to grant any unauthorized access to any part or component of any website, software, Hackathon;
  33. You will not alter or modify any part of the Organizer’s Website other than as may be reasonably necessary for its intended use and You will not copy or distribute any part of the said Website in any medium without the Organizer’s prior written consent; 
  34. You will not engage in any activity that may harm in any way Hackathon, the Organizer, Licensed Parties and their authorized third parties, employees and representatives, Venue and Venue’s owners and personnel, their websites, participants, visitors, attendees and overall premises and equipment;
  35. You will not make any defamatory remarks and/or any untrue statements or claims about or on behalf of the Organizer, Licensed Parties and their authorized third parties, employees and representatives,;
  36. You will not use Hackathon’s and/or the Organizer’s Website, content for or in connection with commercial purposes;
  37. You must follow at all times the instructions, guidelines, rules of the Organizer;
  38. You will not act in any way to actually and/or with the intention to stop, prevent, deprive, eliminate, terminate in any way the rights/granting of rights of the Organizer under the present Terms and especially as indicated in clauses 1, 2, 3, 4, 5, 7, 8 and 10 of these Terms;
  39. You will not object, contradict, argue, question, accuse, bring a claim against and/or otherwise demand form the Organizer and/or Licensed Parties and/or authorized third parties in relation to decisions, powers and rights vested in, granted, retained by them under these Terms and Hackathon, whether explicitly, directly or indirectly given by You and/or Your Team;
  40. You are solely and fully responsible for any and all taxes, dues, fees, expenses, charges in relation to the Prizes and/or gift under these Terms;
  41. Any and all Prizes and gifts under these Terms are provided as is and You hereby release the Organizer and sponsors from any responsibility in relation to their functionality, dysfunctionality, malfunction, etc. and you hereby indemnify the Organizer and sponsors against any and all legal actions in connection to the said Prizes and gifts;
  42. You are strictly restricted to attempt to host or organize any event, contest, hackathon in conjunction with, contiguous to or purporting to be related to Hackathon or its participants without the express prior written permission and cooperation of the Organizer.  The Organizer reserves their right to take such action (legal or otherwise), including a claim for damages as in is sole discretion deems appropriate in the circumstances;
  43. You must in Your best endeavor: a) ensure that any and all third parties act consistently with and do everything necessary in order for You to perform Your obligations, representations and warranties under these Terms and b) prevent any third party from infringing the rights of the Organizer and/or Licensed Parties and/or authorized third parties and if necessary take legal action to stop such infringements and protect their rights;
  44. You hereby accept that any inaction at a time where You shall act in order to fulfill the representation and warranties under this clause 9 shall constitute act of breach of these representation and warranties;
  45. In any case you are in breach of any representation and warranty, as also, of any other term of these Terms, regardless the cause of the breach, the Organizer reserves the right to refuse and/or exclude and/or forbid and/or stop and/or cancel Your and/or Your Team’s use of the Website and/or content and/or registration, participation and attendance in Hackathon and/or deprive and/or remove from You and/or Your Team any and all rights may have in Hackathon, a Project, a Prize and/or request to refund and/or return back the Prize and/or gift and/or terminate these Terms and/or claim damages, at any time without any explanation, prior warning or notification;
  46. The Organizer maintains at all times the right to take all action as described in clause 9(ss) if affected third parties raise or threaten to pursue claims against the Organizers and/or Licensed Parties and/or authorized third parties and/or their employees and authorized representatives and/or Venue’s owners, arising from Your breach of the aforementioned representations and warranties and/or of the present Terms.  In any case of such third party claims raised, regardless if raised during or after the end of Hackathon, You are obliged to assist in any way possible the Organizer and/or Licensed Parties and/or authorized third parties and/or their employees and authorized representatives and/or Venue’s owners and assume, as a procedural guarantee, to intervene, at Your own expense during trial in favor of them in order to successfully repel the respective allegations and claims and protect them.
  47. You hereby declare that You and Your successors will entirely indemnify the Organizer against any and all third-parties claims against it in connection with the guarantees provided above.

10. PERSONAL DATA

10.1. You hereby represent and warrant that the Organizer has all rights possible to obtain from You, for Hackathon and/or Your registration, participation and attendance therein and/or execution of the present Terms, Your personal data, which may include amongst others and without limitation full name, passport data, registration address, citizenship, sex, place of residence, bank account details, telephone number, postal address, email address, position, place of work, Facebook, Twitter, Instagram, VK, LinkedIn, Skype, Twitch and other social media links and accounts, marital status, biography and background details and any other data making Your identification possible (collectively hereinafter referred to as “Personal Data”), as also all rights, permissions and authorizations to store, utilize, process Your data in accordance with the Privacy Policy and Consent for Processing Personal Data which You hereby explicitly agree and consent with (hereinafter referred to as the “Consent for Processing Personal Data”).

11. INDEMNIFICATION

11.1. You hereby indemnify, defend and hold harmless the Organizer, Licensed Parties and authorized third parties, from and against any and all allegations, claims (including third party claims), liabilities, losses, costs, damages or expenses, including reasonable attorneys’ fees, which may be/are incurred or suffered in connection with or as a result of (a) Your breach, violation, failure, default, improper fulfilment of these Terms and of Your respective responsibilities, obligations, representation and warranties hereunder. (b) improper use of a Prize and/or a gift; (c) failure of paying and/or reporting any and all required federal, state or local income, or other taxes, costs, expenses, charges; (d) improper use and/or registration, participation, attendance in Hackathon.  Should You fail to duly fulfil Your obligations hereunder and/or with all and any guarantees, representations and warranties given by You under these Terms which entailed and/or resulted in any damages, fines, penalties or obligatory payments for the Organizer, You hereby agree and must compensate the Organizer in full for all and any such damages, fines, penalties or obligatory payments incurred by the Organizer.  

12. LIMITATION OF LIABILITY AND WARRANTY

12.1. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THESE TERMS AND TO THE EXTEND PERMITTED BY LAW THE ORGANIZER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES FOR NON-INFRINGEMENT, SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE.  TO THE FULLEST EXTENT PERMITTED BY LAW, HACKATHON AND ANY AN ALL EQUIPMENT, SERVICES, PRIZES AND GIFTS ARE PROVIDED “AS IS” AND AT YOUR OPTION AND RISK AND THE ORGANIZER DOES NOT GUARANTEE ANY WINNING, RESULTS OR SECURITY OF ANY KIND.  

12.2. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE/USE OF THE EQUIPMENT, SERVICES, PRIZES, GIFTS AND FOR YOUR REGISTRATION, PARTICIPATION AND ATTENDANCE IN HACKATHON.  IN NO EVENT SHALL THE ORGANIZER AND/OR LICENSED PARTIES AND/OR AUTHORIZED THIRD PARTIES OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, LICENSORS OR AGENTS, BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR EMOTIONAL DISTRESS, LOSS OF OPPORTUNITIES, ANTICIPATED SAVINGS, INCOME, PROFITS, REVENUE, GOODWILL, INTERRUPTION, LOSS OF DATA/INFORMATION, USE OR CORRUPTION OF SOFTWARE OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CAUSE, CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING WHATSOEVER ARISING UNDER OR OUT OF OR IN CONNECTION WITH,  THESE TERMS, THE SUBJECT MATTER HEREOF, HACKATHON, EQUIPMENT, SERVICES, PRIZES, GIFTS AND YOUR REGISTRATION, PARTICIPATION AND ATTENDANCE IN HACKATHON, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THEM, OR ANY OF THE RIGHTS GRANTED TO YOU HEREUNDER, REGARDLESS OF WHETHER OR NOT YOU HAVE BEEN INFORMED OF, ADVISED OR OTHERWISE ANTICIPATED THE POSSIBILITY OF SUCH DAMAGES OR WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, RESTITUTION, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.  IN ANY CASE, THE ORGANIZER’S MAXIMUM LIABILITY HEREUNDER SHALL BE LIMITED TO THE PRIZE ACTUALLY DUE TO THE WINNING TEAMS OF HACKATON. 

12.3. You hereby accept that temporary restrictions or interruptions cannot be ruled out as a result of technical malfunctions (e.g. interruptions to the power supply, hardware or software errors, and technical problems).  The Organizer reserves the right to take any action it considers appropriate at its own discretion, as for example to shut down, restrict or change the operation of its Website and/or Hackathon wholly or partially, at any time and for any reason, without explanation or prior notice. 

12.4. The Organizer reserves the right, at any time and at its sole discretion, to modify and/or discontinue Hackathon and/or any equipment, service, Topic, Prize, gift, internet, Venue, time, etc. supposed to and/or actually provided under/for it.  The Organizer will not be liable to You or any third party should it exercise such right vested in it. 

12.5. You hereby understand and agree that You are registering, participating and attending Hackathon, including entering, remaining, working, using equipment, using a service, eating and drinking at the Venue and third party premises, at Your own free will and judgment without any warranty and/or safety guarantee and/or insurance whatsoever from the Organizer, including in relation to Your physical, mental, psychological health, state and condition, at any time.  Therefore, You hereby release the Organizer from any liability whatsoever in relation to any type of damage and/or injury and/or suffering and/or death You may suffer, whether direct or indirect, severe or not, as a result of Your registration, participation and attendance in Hackathon.

12.6. You acknowledge and agree that views, ideas, opinions, thoughts, arguments expressed by any person including Licensed Parties, authorized third parties, authorized representatives, speakers, attendees, participants, visitors, sponsor, affiliates and third party service providers including the Evaluation Committee and the Organizer’s personnel, at or in connection with Hackathon are mere views, ideas, opinions, thoughts, arguments owned by those individuals and the Organizer has not and does not accept any responsibility or liability for any advice given or such views, ideas, opinions, thoughts, arguments expressed during or in connection with Hackathon.  The Organizer and Hackathon do not offer any type of advice and such views, ideas, opinions, thoughts, arguments expressed during or in connection with Hackathon do not constitute legal, financial, professional, medical or tax advice and cannot be used for such purposes nor for Your registration, participation and attendance in Hackathon.  Materials shared or distributed at or in connection with Hackathon are intended for information purposes only and should not be relied upon by You or others.  You acknowledge and accept that all information and content accessed by You for and/or during Hackathon and Your registration, participation and attendance therein is at Your own risk.  The Organizer does not endorse or recommend You or anyone else to register, participate, attend Hackathon.  The Organizer, Licensed Parties, authorized third parties, authorized representatives, do not provide any guarantees, conditions or warranties that the materials are complete or accurate and do not accept any responsibility or liability for reliance by You or by any other person on any aspect and/or information provided at/during Hackathon.  The Organizer expressly disclaims any liability or responsibility for usage of, implementation of, impact from, or communications of the views, ideas, opinions, thoughts, arguments or discussions presented, expressed by any Licensed Parties, authorized third parties, authorized representatives, speakers, attendees, participants, visitors, sponsor, partners, affiliates and third party service providers.

12.7. The Organizer is not liable for any incorrect information caused and/or disseminated nor for any offer made by any person including Licensed Parties, authorized third parties, authorized representatives, speakers, attendees, participants, visitors, sponsors, affiliates and third party service providers, during/for Hackathon.  

12.8. You hereby understand and accept that the Organizer does not have any responsibility for the dissemination of Your Data and Hackathon Content from Internet and social media users (e.g. transfer, uploading, downloading, sharing, etc.) and does not guarantee nor is responsible for any damage caused to anyone from the use of the Hackathon Website and of its content to which use the users proceed at their own risk.

12.9. Hackathon and/or Your registration, participation, attendance in Hackathon may contain links to third parties and to contributions uploaded/made by other third parties, Licensed Parties, authorized third parties, individuals, companies, participants, sponsors including videos, images, descriptions, links and other content.  The Organizer is not responsible or liable to these third party sites, etc. and you should review any terms and conditions when entering those sites or viewing their content.

13. CONFIDENTIALITY

13.1. You hereby agree that the present Terms are confidential.  In addition, You acknowledge that in connection with these Terms and Hackathon, You may have access to the Organizer’s and/or its Licensed Parties’ and/or authorized third parties’ confidential information.  All information disclosed to You under/for Your registration, participation and attendance in Hackathon and execution of Your obligations, representations and warranties hereunder, which is not known by or generally available to the public at large, whether disclosed directly or indirectly, in writing, electronically, orally or by drawings or samples, equipment or facilities, is confidential.  Such confidential information includes but is not limited to any information related to the Organizer’s and/or Licensed Parties’ and/or authorized third parties’ business, plans, projects, technology, customers, costs, third parties’ personal data, information and documentation, developments, know-hows, other information specified as such by the Organizer and/or which became known to You during Hackathon and/or Your registration, participation and attendance therein and/or through any other person/authorized representative/participant/visitor/speaker/attendee/sponsor/personnel/, system, communication channel, corporate resource of the Organizer.  Confidential information also includes any notes, summaries, analyses or other material derived from such confidential information.

13.2. You must not disclose to any third parties any confidential information, and You hereby agree to take any measures to prevent disclosure of such information to any third parties.  You must not distribute, publish, copy, reproduce or otherwise use the information specified as confidential pursuant to these Terms or the Organizer’s instructions.

13.3. At the Organizer’s request, You must immediately return to the Organizer all documents (including but not limited to printed, handwritten, or electronic media) either provided to You by the Organizer and/or Licensed Parties and/or authorized third parties and their representatives/personnel, or developed by the You in fulfillment of Your obligations under these Terms and/or Your registration, participation and attendance in Hackathon.

13.4. Your obligations under this confidentiality clause shall survive termination of these Terms.

13.5. You hereby understand and agree to be liable to the Organizer for the failure to adhere to the terms of this clause by indemnifying the latter for the damages incurred. 

13.6. You hereby agree to use the confidential information only in connection with these Terms and Hackathon and You must not disclose any such confidential information to any third party (except as required by the applicable law and the legal process, e.g., court issued subpoena), provided that the Organizer shall be promptly notified in writing and given an opportunity to object to such disclosure or seek confidential treatment of any such disclosure. 

14. NATURE OF SERVICES

14.1. Your registration, participation and attendance in Hackathon and the rights granted by You hereunder are special, unique, and impossible to replace, which gives them a peculiar value, the loss of which could not be reasonably or adequately compensated in damages in an action of law.  Your failure and/or refusal to perform Your obligations hereunder would cause the Organizer to suffer irreparable loss and damage and therefore in any such case the Organizer shall be entitled to injunctive or other equitable relief against You to prevent the continuance of such failure and/or refusal and/or to prevent You from further violating these Term.  The Organizer’s rights under these Terms shall be cumulative, and the Organizer’s resort to injunctive or other equitable relief or its exercise of other rights and/or remedies shall not constitute a waiver of any other or additional rights which the Organizer may have.  

15. INDEPENDENT CONTRACTOR

15.1. Nothing in these Terms will be construed to place the Parties in the relationship of partners, joint ventures, principal and agent, employer and employee or any other legal or equitable relationship in which any one of the Parties will be liable for the acts or omissions of the other Party and no Party has the authority to bind or obligate the other Party in any matter whatsoever or any other relationship other than that of an independent contractor.

15.2. You acknowledge and agree that You shall be an independent contractor of the Organizer.  For this purpose and in order to register, participate and attend Hackathon You shall be required to sign/accept/consent to any and all Supplementary Documents, whose terms shall be consistent with and part of these Terms.  These Terms are agreed between You and the Organizer and You agree that any payments (e.g., a Prize) by the Organizer in connection with these Terms shall be made by the Organizer to You personally.  The Organizer shall make no deduction from payments to You for federal or state tax withholdings, social security, unemployment or disability insurance.  You shall be responsible for Your own taxes, etc.  You do not have any authority to enter into and/or make any commitments or obligations on behalf of the Organizer and/or Licensed Party and/or authorized third party and You shall not at any time represent that You have such authority.

16. FORCE MAJEURE EVENTS

16.1. You hereby agree and release the Organizer from any and all liability for the partial and/or full non-fulfillment of its obligations under the present Terms if it appeared as the consequence of force-majeure circumstances.  The Organizer will try to make sure that Hackathon and any services, equipment, speakers, Topics, internet, programs, sites, Venue and dates are correct at the time of publishing.  Circumstances beyond the Organizer’s control, including force majeure events, may necessitate substitutions, alterations, postponements and/or cancellations to the content, format, themes, names, performers, hosts, moderators, services, equipment, speakers, Topics, internet, programs, sites, Venue, dates, timing, platforms of Hackathon, even if already published and/or otherwise provided.  

16.2. Force majeure events include amongst others: (a) power or server outages or issues; (b) update or maintenance periods; (c) acts of God, fire, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e) terrorist attack, civil war, military actions, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law, adopted act, regulation or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labor or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; (k) interruption or failure of utility service and/or (l) electronic or communications failure.  

16.3. The Organizer reserves the right to do any such substitutions, alterations, postponements and/or cancellations at any time without being liable to You for any cost, expenditure, damage, loss incurred by You as a result.  The Organizer will try to notify You as soon as reasonably practicable of any such substitutions, postponements, or changes by communicating the information to You via any mean(s) at its own discretion.

17. MISCELLANEOUS

17.1. Any and all Supplementary Documents to be and/or actually singed/accepted/consented by You for your registration, participation and attendance in Hackathon constitute an integral part of these Terms and include amongst others Hackathon’s Privacy Policy, Consent for Processing of Personal Data, Team Formation Acknowledgments, applications, forms, etc.  Areas and/or terms not covered by these Terms are regulated by the provisions of such Supplementary Documents.  In the event of any inconsistency between these Terms and any of the Supplementary Documents, these Terms shall govern. 

17.2. These Terms, including any and all Supplementary Documents constituting an integral part of it, form the entire agreement between the Parties hereto and supersedes any and all prior agreements, arrangements or understandings between the Parties relating to the subject matter hereof.  You hereby agree that in entering into these Terms You have not relied and are not relying on any representations, warranties, covenants, conditions or other statements whatsoever, whether by stature or otherwise, written or oral, express or implied, other than those expressly set out in these Terms and that You will not have any right or remedy rising out of any representation, warranty, covenant, condition or other statement in relation to these Terms and/or Hackathon and/or to any related service not expressly set out in these Terms. 

17.3. The Organizer reserves the right, at our sole discretion, to modify and/or replace any and all these Terms at any time, with or without any notice at its sole discretion.  At the Organizer’s sole discretion, the Organizer may provide You with a prior notice of the changes taking effect.  By continuing Your registration and/or participation and/or attendance in Hackathon upon any relevant modification and/or replacement and/or publication and/or announcement of any terms, you automatically and immediately thereupon agree to be bound by them.  

17.4. These Terms and all disputes or claims arising out, in connection with or with respect to Hackathon or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the laws of the Cyprus, without giving effect to any choice of law or conflicting provisions or rules.  Each Party irrevocably agrees that the courts of Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

17.5. These Terms, and all rights and obligations required hereunder, may not be assigned, transferred, mortgaged, charged, subcontracted, declared a trust over or dealt in any other manner by You unless preliminary approved in writing by the Organizer. The Organizer has the right to assign and subcontract any of its rights or obligations hereunder to its Licensed Parties, authorized third parties or any other third parties as indicated by the Organizer.

17.6. If any part of these Terms is determined to be void, invalid or unenforceable, then such part shall be deemed to be separate and severable from the other portions of these Terms, and the other portions shall be given full force and effect, as though the void and invalid portions or provisions were never a part of these Terms. 

17.7 A failure by the Organizer to enforce any provision of these Terms shall not be in any way construed as a waiver of any such provision nor prevent the Organizer thereafter from enforcing each and every provision of these Terms.

18. TERM

18.1. These Terms shall cover the relations arising between the parties upon Your registration for Hackathon and shall continue in force until the end of Hackathon.

19. SURVIVAL

19.1. The following clauses of these Terms shall survive their expiration or termination: 1, 7, 8, 9, 10, 11, 12, 13 and14.

20. COUNTERPARTS

20.1. This Terms and/or Supplementary Documents may be executed in several counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument representing the agreement of the Parties hereto.  These Terms and/or Supplementary Documents and any original counterparts executed have equal legal force – usually 1 (one) counterpart for each Party.

21. COMMUNICATION

21.1. Any notice or other communication made under these Terms shall be in writing and shall be deemed to have been duly delivered if it is delivered by hand or sent by recorded delivery, facsimile copy or e-mail to the other Party at the address stated in these Terms or other address stipulated by the Party in writing.
